Welcome to Solis OS. These Terms and Conditions ("Terms") govern your access to and use of the Solis OS platform, website, and services (collectively, the "Service") operated by Solis OS ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using Solis OS, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms. If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Account Registration
To use certain features of the Service, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain and promptly update your account information to keep it accurate and complete.
- Maintain the security and confidentiality of your login credentials.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete, or if we reasonably suspect unauthorized access.
3. Our Products
Solis OS offers two separate products, each with its own pricing model:
3.1 Solis OS Dashboard
The Solis OS Dashboard (available at app.solis-os.com) is a monthly subscription service priced at $39 AUD per month. Your subscription renews automatically each month unless cancelled. New users receive a 14-day free trial with full access to all features. No credit card is required to start the trial. If you cancel, you retain access until the end of your current billing period.
3.2 Solis OS POS
Solis OS POS is an annual subscription priced at $239 AUD per year. Your subscription renews annually. New users receive a 10-day free trial with full access to all features. No credit card is required to start the trial. You will receive an email reminder two weeks before your annual renewal date.
3.3 Payment Processing
Payments for both products are processed through Square, our secure third-party payment provider. By purchasing, you agree to the applicable payment provider's terms of service and privacy policy.
3.4 Taxes
You are responsible for all applicable taxes associated with your purchase or subscription. The payment provider may collect and remit taxes on our behalf where required by law.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
- Use the Service to transmit or send unsolicited commercial messages (spam) through any integrated messaging channels, including WhatsApp.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the servers on which the Service is hosted, or any server, computer, or database connected to the Service.
- Introduce any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
- Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
- Impersonate or attempt to impersonate Solis OS, a Solis OS employee, another user, or any other person or entity.
- Use the Service to store, process, or transmit material that infringes or misappropriates a third party's intellectual property rights.
- Resell, sublicense, or redistribute the Service without our prior written consent.
5. Intellectual Property
5.1 Our Intellectual Property
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement thereof) are owned by Solis OS, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
5.2 Your Content
You retain all ownership rights to data and content you upload, store, or transmit through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing and improving the Service. We will not sell, share, or use Your Content for any purpose other than delivering the Service to you.
5.3 Feedback
If you provide us with any suggestions, ideas, enhancement requests, or other feedback ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use, incorporate, and otherwise exploit the Feedback for any purpose.
6. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
- In no event shall Solis OS, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service.
- Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount you have paid to us in the twelve (12) months preceding the claim.
7. Indemnification
You agree to defend, indemnify, and hold harmless Solis OS and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
8. Cancellation and Termination
8.1 Cancelling Your Subscription
Solis OS Dashboard: You may cancel your monthly subscription at any time through the Settings page in your dashboard. After cancellation, you will retain full access to the service until the end of your current billing period. No further charges will be made after cancellation.
Solis OS POS: You may cancel your annual subscription at any time by contacting our support team. After cancellation, you will retain full access until the end of your current annual billing period. No further charges will be made after cancellation.
8.2 Termination by Us
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
8.3 Effect of Termination
Upon termination or cancellation of your account, we will make your data available for export for a period of 30 days. After this period, we reserve the right to delete your data in accordance with our Privacy Policy. Refunds are handled in accordance with our Refund Policy. Sections of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect by posting a notice on the Service or sending an email to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of competent jurisdiction.
11. Dispute Resolution
Any dispute arising from these Terms or your use of the Service will first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within 30 days, either party may pursue formal resolution through the courts as specified in Section 10.
12. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
13. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Solis OS regarding your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
